This Software End-User License Agreement ("Agreement") is a legally binding agreement between you, the user ("Licensee"), and Mobiki Ltd. ("Mobiki") regarding the Mobiki software program (object code only) ("Software"). The Licensee declares that they have read, understood, and accepted the terms and conditions of this Agreement. If the Licensee does not accept the terms of this Agreement, they cannot use the Software. 1. Definitions: 1.1 "Mobiki" means the software offering spatial services belonging to Mobiki Ltd. 1.2 "Kiosk" means a Mobiki product with a screen size larger than 20 inches, specifically a Mobiki Kiosk. 1.3 "Approved System" means the hardware on which Mobiki software runs. This refers to hardware approved by Mobiki Ltd. 2. Grant of License: 2.1 Standard Navigation License: If the Licensee has purchased the Software for use with an Approved System, Mobiki hereby grants the Licensee a license to use the Software with the Approved System only and not on any other device or transferable by any means (except as specified herein): (a) The Licensee will use the Software only with the Approved System. This license strictly prohibits: (1) Using the Software with any Limited System, (2) Copying or otherwise modifying the Software files for use on any Limited System, (3) Any other license rights not explicitly granted herein. 2.2 Kiosk License: If the Licensee has purchased the Software as an independent software product that requires registration or an approval code for use at a Location from Mobiki or an authorized reseller, then Mobiki grants the Licensee a non-exclusive, non-transferable (unless explicitly permitted otherwise in this Agreement) license to use the Software on all devices at the Location. The Software may be installed for preparatory work at the Location. This license does not grant any rights not specifica... 2.3 Spatial Maps: The Licensee cannot copy or transfer Spatial Maps and location data produced for the operation of this software. Mobiki Ltd. retains all ownership of maps produced by Mobiki Ltd. (unless explicitly permitted otherwise in this Agreement). This license does not grant any rights not specifically mentioned in this provision. 3. Subscription Restrictions: If the Licensee obtained the Software as part of an annual license requiring an annual renewal fee, all licenses granted in Section 2 will terminate at the end of the subscription. Specifically, a subscription ends one year after the activation or renewal of the subscription. Upon termination of the subscription, the Licensee agrees to remove all copies of the Software. 4. Copying Restriction: This Software is protected by the copyright laws of the United Kingdom and international treaty provisions. Unauthorized copying of the Software, in whole or in part, is strictly prohibited. Subject to these restrictions and unless explicitly stated otherwise in the License grant section above, the Licensee may (i) load the Software to support authorized use and (ii) create one copy of the Software for backup purposes, provided that all copyright and trademark notices are included... 5. Ownership of Software: Mobiki retains all rights, title, and interest in the Software (and copies thereof), except for the rights explicitly granted to the Licensee. This Agreement does not transfer any intellectual property rights or copyrights, patents, trademarks, trade secrets, or other related rights to the Licensee, except as explicitly stated herein. This Agreement is not a sale of the original Software or any copies. 6. Use Restrictions: This Software is licensed to the Licensee for internal use only. The Licensee agrees not to exceed the scope of the licenses granted herein and will not (i) decompile, reverse engineer, disassemble, or attempt to derive the source code, underlying ideas, user interface techniques, or algorithms of the Software, or disclose any of these; (ii) provide, lease, loan, or otherwise permit the use of the Software for the benefit of third parties; (iii) modify, incorporate into other softwar... 7. Transfer Restrictions: The Licensee will not assign or transfer this Agreement or any of the rights or licenses granted herein, except in the case of the sale or merger of the Licensee's entire or substantially all assets; in such a case, written notice must be provided to Mobiki. 8. Termination: Mobiki may terminate this Agreement in the event of the Licensee's default or breach. Upon termination, the Licensee will forfeit all rights granted by this Agreement, cease using the Software, and return or destroy all copies (and partial copies) of the Software. 9. Limited Warranty and Disclaimer: Mobiki warrants that for two years from the date of purchase, (i) the Software will perform substantially according to the related documentation, and (ii) if applicable, the media containing the Software will be free from material or workmanship defects. This Agreement constitutes the entire agreement between the Licensee and Mobiki regarding the Software license and supersedes all prior oral or written communications and documents (including any agreements related to the first version of the Software if an update is received).
